AminoVault Affiliate Program Agreement
Effective Date: 01/01/2025
Company: AminoVault LLC (“Company”), including its subsidiaries, affiliates, officers, directors, employees, and shareholders.
1. Enrollment
Participation in the Affiliate Program requires submission of an application. The Company reserves the sole right to approve or reject any applicant.
2. Affiliate Relationship
The Affiliate is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, franchise, or employment relationship. The Affiliate has no authority to bind the Company.
3. Affiliate Responsibilities
The Affiliate agrees to promote AminoVault products ethically and accurately; follow all applicable laws, regulations, and supplement advertising rules; and avoid false, misleading, or unsubstantiated claims.
4. Commission Structure
The Affiliate earns a 25% commission on net sales tracked by coupon code. Net sales exclude shipping, taxes, refunds, and chargebacks.
5. Payments
Schedule: Commissions are calculated monthly and paid within 30 days of month-end. Minimum payout threshold: $50. Payment Methods: Melio, ACH, Zelle, Venmo, or another mutually agreed electronic method.
6. Tracking & Reporting
Sales are tracked by coupon codes and unique Affiliate URLs. The Company’s determination of sales and commissions shall be final and binding. All sales tracked through your unique URL are stored for verification.
7. Prohibited Conduct
The Affiliate shall not use spam, unsolicited messages, or deceptive tactics; bid on AminoVault trademarks in search ads; offer unauthorized discounts or resell products; or promote AminoVault in a manner harmful to the Company’s reputation. Violation may result in immediate termination and forfeiture of commissions.
8. Intellectual Property
The Affiliate is granted a limited, revocable, non-exclusive license to use the Company’s approved trademarks and marketing materials. All intellectual property remains the exclusive property of the Company.
9. Confidentiality
The Affiliate agrees not to disclose or misuse any confidential information provided by the Company, including but not limited to marketing strategies, product details, customer information, or business practices.
10. Indemnification
The Affiliate shall indemnify, defend, and hold harmless AminoVault LLC, its affiliates, officers, directors, employees, agents, successors, assigns, and shareholders from any and all claims, damages, liabilities, costs, and expenses (including attorney’s fees) arising out of the Affiliate’s participation, breach of this Agreement, violation of law, or promotional activities.
11. Disclaimer of Warranties
The Company makes no express or implied warranties regarding the Affiliate Program, its tracking, or products sold. Participation is provided “AS IS” and “AS AVAILABLE.”
12. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for indirect, incidental, consequential, or punitive damages. The Company’s total liability shall not exceed the commissions paid to the Affiliate in the three months preceding the claim. The Affiliate assumes all risks associated with participation.
13. Compliance with Laws
The Affiliate must comply with all applicable consumer protection, advertising, health, and supplement marketing regulations, including FTC endorsement guidelines.
14. Term & Termination
This Agreement is effective upon acceptance and continues until terminated. Either party may terminate with or without cause. Upon termination, the Affiliate must cease use of the Company’s intellectual property. Commissions earned prior to termination will be paid according to the standard schedule.
15. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Montana. Any disputes shall be resolved exclusively in the state or federal courts of Park County, Montana, and the Affiliate consents to jurisdiction therein.
16. Entire Agreement & Modifications
This Agreement constitutes the full understanding between the parties and supersedes any prior agreements. The Company reserves the right to update these terms at any time with notice to the Affiliate.
Affiliate Consent
By being approved and accepted into the AminoVault Affiliate Program, the Affiliate hereby acknowledges and agrees to be bound by all terms and conditions set forth in this Agreement. Participation in the program constitutes full acceptance of these terms and remains in effect unless terminated by AminoVault.
